Terms of Service

These Terms of Service ("Terms") govern your use of the Ekho Social platform operated at management.ekho.social ("Service", "Platform"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Ekho Social, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use Ekho Social. If you are under 18, you must have the consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements.

3. Account Registration

  • You must provide accurate, complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at support@ekho.social if you suspect unauthorized access.

4. Subscription & Billing

Free Trial

  • New Creator Card accounts receive a 7-day free trial.
  • A valid payment method (credit card) is required to start the trial.
  • You will not be charged during the trial period.
  • If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the rate displayed at signup.

Paid Plans

  • Basic: $10/month
  • Pro: $72/month
  • Exclusive Roster: Custom pricing as agreed upon individually

Billing

  • Subscriptions are billed monthly on the anniversary of your signup date.
  • Payments are processed through our payment provider (Stripe via Clerk).
  • All fees are in US dollars and are non-refundable except as described below.

Cancellation

  • You may cancel your subscription at any time from your dashboard Settings page.
  • Cancellation takes effect at the end of your current billing period. You retain access until then.
  • Your published Creator Card will be unpublished upon the end of your billing period after cancellation.

Refunds

  • If you cancel within the first 7 days of a paid billing cycle, you may request a full refund by contacting support@ekho.social.
  • Trial period usage is non-refundable (no charge is made).
  • Refund requests after 7 days are evaluated on a case-by-case basis.

5. Creator Card Content

Your Content

  • You retain ownership of all content you upload to your Creator Card (profile images, bios, team information, partnership details, platform analytics).
  • By publishing your Creator Card, you grant Ekho Social a non-exclusive, worldwide license to display your published content at your public card URL for as long as it remains published.
  • You may unpublish or delete your content at any time, which terminates this display license.

Content Standards

You agree not to upload content that:

  • Infringes on the intellectual property rights of others.
  • Contains false or misleading information about your audience metrics or platform statistics.
  • Includes illegal, defamatory, or harmful material.
  • Impersonates another person or creator.
  • Contains malware, scripts, or code intended to disrupt the Service.

Content Accuracy

  • You are responsible for the accuracy of the information on your Creator Card, including platform statistics and audience data.
  • Ekho Social may verify uploaded statistics against publicly available data and reserves the right to flag or remove stats that appear materially inaccurate.

6. Exclusive Roster

Exclusive Roster membership is offered at Ekho Social's discretion and subject to individual agreements. Additional terms may apply to Exclusive Roster creators, including but not limited to:

  • Deal tracking and management obligations
  • Payment processing timelines
  • Content production commitments
  • Confidentiality of deal-specific information

These additional terms will be provided in a separate agreement upon enrollment.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to access other users' accounts or data.
  • Interfere with or disrupt the Service's infrastructure.
  • Scrape, crawl, or automatically collect data from the platform.
  • Use the Service to send spam or unsolicited communications.
  • Resell or redistribute access to the Service.
  • Circumvent any access controls, rate limits, or usage restrictions.

8. Intellectual Property

  • The Ekho Social name, logo, and platform design are the property of Ekho Social.
  • The Service's source code, design, and underlying technology are proprietary.
  • Nothing in these Terms grants you rights to use Ekho Social's branding or intellectual property.

9. Third-Party Services

Ekho Social integrates with third-party services:

  • Clerk: Authentication and billing
  • Convex: Data storage and real-time sync
  • YouTube, TikTok, Instagram: Platform analytics and profile linking

Your use of these services is subject to their respective terms. Ekho Social is not responsible for third-party service availability or policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EKHO SOCIAL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKHO SOCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Ekho Social, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Content you upload to the platform.

13. Account Termination

  • By you: You may delete your account at any time from your Settings page. This permanently removes your data.
  • By us: We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.
  • Effect of termination: Upon termination, your published Creator Card is immediately unpublished. Your data is deleted within 30 days unless retention is required by law.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

15. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
